TERMS OF SERVICE Register Everywhere Inc/registereverywhere.com. is a search engine submission, and search engine traffic optimization firm. In order to be compensated as an AFFILIATE for referring customers to our services, you must agree to the terms and conditions of this agreement. Register Everywhere Inc./registereverywhere. com/Raffi Sosikian and AFFILIATE are entering into a simple business agreement in the best interests of both parties. AFFILIATE and Register Everywhere Inc./registereverywhere.com/Raffi Sosikian are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship, or the relationship of principal and agent between the parties. All copyrighted material and trademarked names and logos used in accordance with this Agreement by either or both parties remain the exclusive intellectual property of the respective originating or issuing parties. No transference of intellectual property ownership or conveyance of rights is intended or conferred in this Agreement. Sales and interests in this Agreement may not be transferred or sold to any other entity and all business between the parties is subject to the terms of this Agreement. 1. Responsibilities of the AFFILIATE It is the full responsibility of AFFILIATE to market the search engine submission, and the search engine optimization services offered by registereverywhere.com in a legal, ethical and honest fashion and AFFILIATE agrees that Register Everywhere Inc./registereverywhere.com/Raffi Sosikian will be held harmless from any and all actions of AFFILIATE and AFFILIATE marketing and promotional programs. The AFFILIATE understands that our search engine submission service is offered via our "Mach 1," "Mach 2," and "Mach 3" options, and our search engine optimization service is offered via our "First Page Ranker", "First Page Ranker Pro", and "First Page Ranker Corporate" options. Details on these and other services can be found on our website of www.registereverywhere.com. Affiliate shall at all times comply with all local and Federal spam, fax broadcast and telemarketing laws. THE AFFILIATE MUST NEVER SEND ANY UNSOLICITED EMAIL. Any affiliate advertisement that does not comply with applicable local, state or federal laws is strictly forbidden and shall be expressly defined as unauthorized use of Registereverywhere.com's policies. AFFILIATES found not abiding by these terms will lose their membership privalleges as well as forfeit all monies owe to them. In addition, should action be brought against Register Everywhere Inc./registereverywhere.com/Raffi Sosikian for such activity by the AFFILIATE, AFFILIATE agrees to bear all costs and penalties associated with such activity including, but not limited to Register Everywhere Inc./registereverywhere.com/Raffi Sosikian legal costs for any alleged infraction of these laws. Registereverywhere.com reserves the right to amend all pricing plans, commissions or conditions relative to this agreement and reserves the right to terminate any AFFILIATE with or without cause at the sole discretion of Register Everywhere Inc./registereverywhere.com/Raffi Sosikian with or without notice. By joining the registereverywhere.com program, AFFILIATE is tendering his/her personal guarantee of these terms and conditions. AFFILIATE MUST KEEP UP-TO-DATE AND CURRENT ALL THEIR CONTACT INFORMATION WITH REGISTEREVERYWHERE.COM. 2. Compliance AFFILIATE agrees to use only the authorized buttons, graphics, and/or links offered by Register Everywhere Inc./registereverywhere.com/Raffi Sosikian in all the AFFILIATE'S marketing efforts. Furthermore, the AFFILIATE agrees not to compete with registereverywhere.com in any way shape or form, online or otherwise and agrees not to "spoof" the registereverywhere.com website or copy the registereverywhere.com website or attempt to trick visitors into thinking they are dealing directly with registereverywhere.com when they are not. 3. Non-Competition AFFILIATE shall not, at any time during the relationship with registereverywhere.com, and until 10 years from the termination of the relationship of this agreement, directly or indirectly, within a geographic area of unlimited miles as the business is conducted primarily on the Internet, engage in, or become involved in, any competitive or similiar business as that of registereverywhere.com. 4. Commission Commission is set at 20% of gross sales for Mach 1, Mach 2, Mach 3 orders, and at 10% for First Page Ranker, First Page Ranker Pro, and First Page Ranker Corporate orders. Payments are due after 60 days of the sale and on the 15th of each month for search engine submission sales, and after 60 days of the order and are payable on the 15th of that month. All payments are made to the AFFILIATE via Paypal only. As such the AFFILIATE must keep their contact information, specifically their email address current with registereverywhere.com. For all First Page Ranker accounts the contract must be executed for the commission to apply. 5. Refunds The AFFILIATE must send any payment back to registereverywhere.com via paypal for all sales referals to registereverywhere.com that result in a cancellation or a refund by the end customer. AFFILIATE will be notified by registereverywhere.com when the above mentioned occurrs. 6. Termination Register Everywhere Inc./registereverywhere.com/Raffi Sosikian and AFFILIATE each may cancel or terminate their relationship at any time, with or without cause, but each may notify the other party in writing via email or air mail as a courtesy. 7. Indemnification The AFFILIATE agrees to indemnify and hold Register Everywhere Inc. /Registereverywhere.com/Raffi Sosikian, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of the AFFILIATE'S use of any of our services and/or offerings, the violation of the terms by the AFFILIATE, or infringement by the AFFILIATE of any intellectual property or other right of any person or entity. 8. Miscellaneous Terms shall be governed by and construed in accordance with the laws of the state of California without regard to its choice of law provisions. In the event of any conflict between foreign laws, rules and regulations and those of the United States, the laws, rules and regulations of the United States shall govern. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement. PLEASE NOTE: AS OF OCTOBER 22, 2006 WE ARE NOT LONGER OFFERING OUR MACH 1 AND MACH 2 SERVICES. THOSE WHO PURCHASED THE MACH 1 AND MACH 2 PACKAGES PRIOR TO OCTOBER 22, 2006 WILL STILL RECEIVE FULL TECHNICAL SUPPORT. AS OF MAY 15TH, 2007 WE ARE NO LONGER OFFERING THE MACH 3 SERVICE.
